1. Definitions

"Inspace" or "we" refers to Inspace S.à r.l., a Luxembourg company providing furniture procurement and project management services.

"Platform" refers to the Inspace web application accessible at inspace.lu and associated services.

"User" or "you" refers to any individual or entity using our Platform.

"Project" refers to a furniture procurement initiative managed through our Platform.

"Configurator" refers to our 3D furniture customization tool.

"Offer" refers to a pricing proposal generated through our Platform.

"Order" refers to a confirmed purchase agreement based on an accepted Offer.

2. Scope of Application

These General Terms and Conditions govern all business relationships between Inspace and Users of our Platform. By registering for and using our services, you agree to be bound by these terms.

These terms apply to all current and future business relationships, even if not explicitly referenced in subsequent transactions.

Any deviating terms proposed by Users are only valid if explicitly accepted by Inspace in writing.

3. Services

3.1 Platform Services

Inspace provides a digital platform for furniture procurement, including:

  • Project management tools for organizing furniture requirements
  • 3D furniture configurator for customization
  • Catalogue browsing and product selection
  • Offer generation and procurement management
  • Order tracking and logistics coordination
3.2 Procurement Services

We facilitate furniture procurement by:

  • Connecting Users with furniture manufacturers and suppliers
  • Providing pricing information and generating offers
  • Coordinating order fulfillment and delivery
  • Offering project management and support services
3.3 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Maintenance periods will be announced when possible.

4. User Registration and Account

4.1 Registration Requirements

To use our Platform, Users must:

  • Provide accurate and complete registration information
  • Verify their email address
  • Be legally authorized to enter into binding agreements
  • Comply with all applicable laws and regulations
4.2 Account Security

Users are responsible for:

  • Maintaining the confidentiality of their login credentials
  • All activities that occur under their account

5. Orders and Procurement Process

5.1 Offer Process

The procurement process follows these steps:

  1. User creates and submits an offer request through the Platform
  2. Inspace reviews the request and provides pricing
  3. User reviews and may accept or reject the offer
  4. Accepted offers become binding orders
5.2 Order Confirmation

Orders are confirmed when:

  • User accepts an offer through the Platform
  • Inspace confirms order receipt and processing
  • Payment terms are established
5.3 Order Modifications

Modifications to confirmed orders may be possible but are subject to:

  • Availability and production status
  • Additional costs or timeline changes
  • Written agreement from both parties

6. Pricing and Payment

6.1 Pricing

All prices are:

  • Stated in EUR unless otherwise specified
  • Exclusive of VAT unless explicitly included
  • Valid for the period specified in the offer
  • Subject to change for future orders
6.2 Payment Terms

Standard payment terms are:

  • 30% deposit upon order confirmation
  • 70% balance before delivery
  • Payment due within 30 days of invoice date
  • Interest charges apply to overdue amounts
6.3 Additional Costs

Additional costs may include:

  • Delivery and installation services
  • Expedited processing fees
  • Custom configuration charges
  • Applicable taxes and duties

7. Delivery and Installation

7.1 Delivery Times

Delivery times are estimates and depend on:

  • Product availability and manufacturing lead times

  • Delivery location and accessibility
  • Seasonal demand and supplier schedules
7.2 Delivery Terms

Standard delivery includes:

  • Delivery to ground floor or loading dock
  • Basic assembly if specified
  • Removal of packaging materials

Professional installation services are available separately and include:

  • Full furniture assembly and placement
  • Space planning and arrangement
  • Connection of electrical components
  • Final quality inspection

8. Warranty and Returns

8.1 Product Warranty

Products are covered by:

  • Manufacturer warranties as specified
  • Luxembourg statutory warranty rights
  • Additional Inspace service guarantees where applicable
8.2 Return Policy

Returns are accepted for:

  • Defective products within warranty period
  • Items damaged during delivery
  • Orders cancelled before production begins
8.3 Custom Orders

Custom-configured items may have limited return options due to their specialized nature.

9. Liability

9.1 Limitation of Liability

Inspace's liability is limited to:

  • Direct damages caused by our intentional misconduct or gross negligence
  • The value of the specific order in question
  • Amounts covered by our insurance policies
9.2 Excluded Damages

We are not liable for:

  • Indirect, consequential, or special damages
  • Lost profits or business opportunities
  • Delays caused by suppliers or third parties
  • Damages resulting from User misuse
9.3 User Responsibilities

Users are responsible for:

  • Providing accurate specifications and requirements
  • Ensuring adequate site preparation for delivery
  • Promptly reporting any issues or defects

10. Data Protection

10.1 Privacy Compliance

We process personal data in accordance with:

  • EU General Data Protection Regulation (GDPR)

10.2 Data Usage

Any disputes shall be resolved by the competent courts of Luxembourg City, Luxembourg.

We reserve the right to modify these terms with reasonable notice. Continued use of the Platform constitutes acceptance of modified terms.

12.4 Severability

If any provision of these terms is found invalid, the remaining provisions shall continue in full force and effect.
